Wholesale Terms & Conditions

Welcome to Wudengberg. These B2B Wholesale Terms and Conditions govern all wholesale inquiries, purchase orders (POs), transactions and shipments between GOLD SPARK GLOBAL SOURCING COMPANY LIMITED ("Company", "We", "Us"), trading as Wudengberg, and business buyers ("Buyer", "Client", "You").

By placing a wholesale or bulk order with us, you agree to comply with and be bound by the terms outlined below. This website supplies trade buyers only and is not a consumer storefront.

1. Quotations and Price Validity

Price quotes: All prices quoted are in USD and are based on the specified Incoterms (e.g. EXW, FOB, CIF or DDP) as stated in your official Proforma Invoice (PI).

Price expiry: Quotations are valid for 30 calendar days from the date of issuance. We reserve the right to adjust pricing after this period due to fluctuations in raw material costs, currency exchange rates, or ocean freight charges.

2. Ordering Process & Purchase Orders (PO)

  • Inquiry & spec confirmation: Technical specifications, packaging, and custom logo/branding details are confirmed during the sampling phase.
  • Purchase Order (PO): The Buyer submits an official Purchase Order referencing our quotation.
  • Proforma Invoice (PI): We issue a PI outlining total costs, lead times and payment details.
  • Order confirmation: An order is deemed accepted and entered into the production schedule only upon our receipt of both the signed PI and the agreed deposit.

3. Payment Terms & Credit Policy

Standard terms:

  • 50% deposit via T/T (telegraphic transfer / wire) upon order confirmation.
  • 50% balance payment required prior to shipment dispatch, or against a copy of the Bill of Lading, as specified in the PI.

Payment methods: Wire transfer (T/T); Letter of Credit (irrevocable L/C at sight for orders exceeding $50,000 USD); or credit card (for sample orders only, subject to a processing fee).

Trade credit (Net terms): Credit terms such as Net 30 / Net 60 are offered exclusively to verified recurring partners, subject to credit checks and trade insurance approval.

4. Production Lead Time & Shipping

Lead time: Standard production lead times are 20–30 business days for standard and stock-supported orders, and 30–45 business days for custom OEM orders, following deposit receipt and final sample sign-off.

Shipping & logistics: Shipments are executed based on the agreed Incoterms (FOB, CIF, DDP, etc.). Lead times do not include transit time by sea, air or rail freight.

Force majeure: We are not liable for production or shipping delays resulting from acts of God, port congestion, customs holds, raw material shortages or labour strikes.

5. Return, Claim & Defect Policy

Due to the international nature of B2B transactions and bulk logistics costs, all B2B orders are final and non-returnable under standard commercial conditions.

Inspection & claims window: The Buyer must inspect all goods immediately upon arrival. Any claim for missing items, incorrect quantities, or visible transit damage must be filed in writing within 10 business days of delivery.

Defect claims: Claims for manufacturing defects must include official photo and video evidence, product batch numbers, and a detailed description of the non-conformity.

Resolution: Approved defect claims will be resolved at our discretion via:

  • A Credit Note (CN) applied toward your next bulk order; or
  • Free replacement items shipped with your subsequent production batch.

Custom & OEM orders: Custom-manufactured (OEM) products produced according to Client specifications are non-refundable and non-exchangeable once production has commenced.

6. Intellectual Property & Brand Rights

All custom designs, molds, tooling and technical documentation developed by Wudengberg remain our exclusive intellectual property unless explicitly transferred under a signed written agreement.

Buyers are granted a non-exclusive license to use our product photographs and specifications strictly for the purpose of marketing and reselling Wudengberg products.
